Terms of Service

These Terms of Service ("Terms") govern your access to and use of Baat ("we", "us", or "our") software products and services, including the Baat platform, APIs, and related tools (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, do not use our Services.

1. Acceptance of Terms

By creating an account or using the Services, you confirm that you are at least 18 years old, have the legal authority to enter into these Terms on behalf of yourself or your organisation, and agree to comply with these Terms and all applicable laws.

If you are using the Services on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms, in which case "you" refers to that entity.

2. Description of Services

Baat provides a WhatsApp Business communication platform that includes:

  • Shared inbox for team-based customer communication
  • Broadcast campaign tools for sending bulk WhatsApp messages
  • AI-powered automation agents
  • Journey Builder for automated message workflows
  • Shopify and third-party integrations
  • Analytics and reporting dashboards

We reserve the right to modify, suspend, or discontinue any part of the Services at any time with reasonable notice.

3. Account Registration

You must provide accurate, complete, and current information when creating your account. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account.

You agree to notify us immediately at support@baat.ai if you suspect unauthorised access to your account. We are not liable for any loss resulting from unauthorised use of your account.

You may not share your account with others, create accounts using automated means, or register accounts under false pretences.

4. Payments & Subscriptions

Baat offers subscription plans billed monthly or annually. By subscribing, you authorise us to charge your payment method on a recurring basis until you cancel.

  • Free trial: A 14-day free trial is available with no credit card required. At the end of the trial, your account will revert to read-only unless you select a paid plan.
  • Upgrades: Plan upgrades take effect immediately. You will be charged a prorated amount for the remainder of the billing cycle.
  • Downgrades: Downgrades take effect at the start of your next billing cycle.
  • Cancellation: You may cancel at any time. Access continues until the end of the current billing period. No refunds are issued for unused periods.
  • WhatsApp conversation fees: Meta charges conversation-based fees separately for WhatsApp Business API usage. These are not included in your Baat subscription and are billed directly by Meta or passed through at cost.

All fees are exclusive of applicable taxes, which will be added where required by law.

5. WhatsApp API Terms

Baat is an official WhatsApp Business Solution Provider. Your use of WhatsApp messaging through Baat is additionally subject to WhatsApp's Business Terms of Service and Meta's platform policies.

You agree to:

  • Only send messages to users who have opted in to receive communications from you
  • Comply with all applicable anti-spam laws, including obtaining proper consent
  • Not use the platform to send prohibited content as defined by Meta's policies
  • Maintain accurate opt-out mechanisms and honour unsubscribe requests promptly

Violation of WhatsApp's policies may result in suspension of your WhatsApp Business Account by Meta, for which Baat bears no liability.

6. Prohibited Uses

You agree not to use the Services to:

  • Send spam, unsolicited messages, or messages to users who have not opted in
  • Distribute malware, phishing content, or fraudulent communications
  • Impersonate any person, company, or entity
  • Violate any applicable local, national, or international law or regulation
  • Scrape, reverse engineer, or attempt to extract source code from our platform
  • Resell or sublicense the Services without prior written consent
  • Use the Services to facilitate illegal transactions or prohibited goods
  • Interfere with or disrupt the integrity or performance of the Services

We reserve the right to terminate accounts that violate these restrictions without notice.

7. Intellectual Property

All intellectual property rights in the Services — including software, design, trademarks, and content — are owned by Baat or its licensors. These Terms do not grant you any rights to our intellectual property except the limited right to use the Services as described herein.

You retain ownership of all content you create or upload through the Services ("Your Content"). By using the Services, you grant Baat a limited licence to host, process, and transmit Your Content solely to provide the Services to you.

8. Privacy & Data

Your use of the Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Services, you consent to the data practices described in our Privacy Policy.

You are responsible for ensuring that your use of personal data through the Services complies with applicable data protection laws, including obtaining necessary consents from your customers.

9. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, BAAT DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Services will be uninterrupted, error-free, or completely secure. We are not responsible for the content of messages sent through the platform by you or your users.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BAAT AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL.

Our total aggregate liability for any claims arising under these Terms shall not exceed the greater of (a) the amount you paid to Baat in the 12 months preceding the claim, or (b) USD 100.

11. Termination

Either party may terminate these Terms at any time. You may terminate by cancelling your subscription and ceasing use of the Services. We may terminate or suspend your access immediately if you breach these Terms or if required by law.

Upon termination, your right to use the Services ceases. Your data will be retained for 30 days in read-only mode, after which it may be permanently deleted. You may export your data before termination.

12. Governing Law

These Terms are governed by the laws of India, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Mumbai, India.

If you are located outside India, local mandatory consumer protection laws may apply and are not excluded by these Terms.

13. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email or through an in-app notice at least 14 days before the changes take effect. Your continued use of the Services after the effective date constitutes acceptance of the updated Terms.
